This Agreement (“Agreement”) is between you (“Client”) and Journalyzed LLC (“Bookkeeper,” “I,” “me,” or “my”) and governs your use of my bookkeeping services (“Services”).
By accessing or using my Services, you agree to these terms.
1.1 Bookkeeping Services
I provide bookkeeping services based on the information you provide and as agreed on our signed Order Form. These Services are not a substitute for legal, tax, accounting, or financial advice. I do not provide audits, attestations, or certifications.
1.2 Year-End Services
If you remain an active client through the end of your fiscal year, I may perform year-end bookkeeping work as part of the engagement. Otherwise, such services are not included.
1.3 Technology Use
I use QuickBooks Online. If you don’t already have an account, I may create and manage one on your behalf. The use of this software is subject to the creator terms.
1.4 Exclusive Bookkeeper
While we’re engaged, I act as your sole bookkeeper. If you or another party make edits to your books during this time, I may charge additional fees to resolve any resulting issues or inconsistencies.
1.5 Independent Contractor
Bookkeeper is an independent contractor and not an employee, partner, or joint venture of the Client. Nothing in this Agreement shall be interpreted to establish any other relationship.
2.1 Information Sharing
You agree to provide accurate and timely financial information, access to systems, and good faith cooperation. Delays in your input may delay deliverables and could result in additional fees or pauses in service. The Bookkeeping Company shall not be held responsible for delays or inaccuracies due to incomplete or delayed information provided by the Client.
2.2 Acceptable Use
You agree not to use the Services in any unlawful or abusive manner.
2.3 Modifications
I may update, improve, or discontinue parts of the Services from time to time. I will notify you of material changes.
2.4 Limitations
I am not a CPA and do not provide services requiring CPA licensure. Please consult a licensed professional for audit, legal, or tax advisory services.
3.1 Your Data
All financial data you provide remains yours. I may use your data to deliver and improve Services but will not share it without your consent, except as required by law.
3.2 Third-Party Tools
I may use third-party tools (e.g., Gusto, Ramp, Stripe) to integrate and manage your data. I’m not responsible for their performance or data security. You should review their terms separately.
3.3 Confidentiality
All client data and communications are treated as confidential. I won’t disclose your information unless required by law or with your written consent.
4.1 Fees
Fees are based on your business profile and the Services provided. I may adjust pricing if your business needs materially change. Subscription fees are billed upfront and are non-refundable. Prepaid hours for Controller Services must be used within the billing period and do not carry over to subsequent months.
4.2 Payment Method
Payments are made by ACH, debit, or credit card on file. If payment is late, I reserve the right to pause work until the balance is settled.
5.1 Term
The Agreement begins when you engage my Services and continues until cancelled by either party.
5.2 Termination (Voluntary)
You may cancel Services at any time by a 30-day written notice. Prepaid fees are non-refundable.
5.3 Termination (Involuntary)
Bookkeeper may terminate your services immediately if:
a. Payment is not received within 3 business days of the due date (following notification). A $25 NSF fee will apply to any bounced payments.
b. The Client alters financial records prepared by the Bookkeeper without notice
c. There has been no communication from the Client for 3 consecutive months
d. The Client commits a material breach of this Agreement
5.4 Post-Termination
After termination, I will transfer control of any QuickBooks account back to you. You are responsible for storing and securing your financial records. The Bookkeeper agrees to retain electronic copies of Client data for up to one (1) year following the termination of this Agreement. After this period, the Bookkeeper may delete such data unless otherwise required by law.
6.1 Disclaimer
My Services are provided “as is.” I do not guarantee that reports or data will be error-free or fit for any particular purpose.
6.2 Limitation of Liability
To the fullest extent permitted by law, the Bookkeeping Company’s liability for any claim arising out of this Agreement shall be limited to the total fees paid by the Client for services rendered in the three (3) months preceding the claim. Under no circumstances shall the Bookkeeping Company be liable for any indirect, incidental, consequential, or punitive damages.
7.1 Informal Resolution First
Let’s try to resolve any disputes informally. If we can’t, either party may seek legal remedy in the courts of Mahoning County, Ohio.
7.2 No Class Actions
You and I agree to resolve disputes individually, not as part of any class action
